Qualifying investors can apply to join our sophisticated investor program. Investors in this program will have access to pre-IPO and other investment opportunities, including listed share placements, that are unavailable to retail investors.
An issue of securities to the public normally requires a disclosure statement/prospectus to ensure participants are fully informed about the characteristics of the securities offered, the present position and future prospects of the entity offering the securities. In certain circumstances (detailed in the Corporations Act), an issue of securities can be made to potential investors without a disclosure statement/prospectus if the potential investors are deemed to have the capability of having sufficient investment knowledge to make an informed decision.
An investor that is capable of making a investment decision without the need to consider a disclosure statement/prospectus may obtain a benefit over conventional retail investors, as they may qualify to participate in “institutional” or “wholesale” placements of securities, or in “seed capital” and “pre-IPO” investment opportunities. In these circumstances, any information provided to potential investors will not constitute a disclosure document/prospectus.
If you satisfy any one of the following three categories, you can apply to join the Orbit Capital Sophisticated Investor Group.
A person who controls/manages at least $10 million of investment in securities, or holds a dealer’s licence or investment adviser’s licence.
A person who has net assets of $2.5 million or has gross income for each of the last two financial years of at least $250,000 a year. This criteria must relate to the same entity to which the offer is made. A qualified accountant must certify that the person/entity satisfies this criteria and this certification must be no more than two years old.
Where an offer to a person/entity is made through a licensed securities dealer, such as Orbit Capital Pty Limited, and that dealer is satisfied on reasonable grounds that the person to whom the offer is made has previous experience in investing in securities that allows them to assess:
(i) the merits of the offer, and
(ii) the value of the securities, and
(iii) the risks involved in accepting the offer, and
(iv) their own information needs, and
(v) the adequacy of the information given by the person making the offer.
Orbit Capital Pty Limited has procedures and criteria in place that allows it to assess an investor’s acceptance as an Experienced Investor.
